According to your requirements and the budget you have, you won't find anyone which can provide you a dedicated server for $50 because cPanel costs more than $35.00 itself.

I would recommend a high end VPS with about 2 gb ram. It will be a better all rounder because the servers which you will be on will have better cpu architecture and all your data will be backed up.

Go with VPS,you can't get decent dedicated server with cpanel for that price..

Basicaly a dedicated server is a server to which you are the only one that has access to the files, and you control the contents of the entire server. You are not sharing space with anyone else, nor can anyone else get to your data.

You should be able to get a very good spec server for that price, a lot of dual cores are under 50$ atoms are even cheaper but lack performance.
