I've been working on a content manager system for the past few years. when it's completed, with it's own source code locking system, I'd like to make it free to some people then charge for extra features and updates and support and all that good stuff. I'm not too formilior with the types of licensing a piece of software. how should I handle the terms of use?

Good questions. Hopefully someone with more knowledge on this subject will be able to chip in with something.

If you are planning on rolling this out to the business world on the internet, it might be worth contacting some legal team who know about the ins and outs of this kind of stuff. It will give you a more stable foundation in the way TOS works and will help iron out any problems that you run in to with copying etc..

SaaS (software as a service) is slowly becoming a big thing; in particular, charge $X per year with free updates and the ability to renew annually to stay with the latest and greatest features.
